Where seen in these Terms & Conditions, ‘Algoworx’, ‘we’, or ‘our’ means Multi X Algo Pty Ltd ACN 666 280 084.
Please read these carefully and if you do not accept the Terms and Conditions set out below, please refrain from using the Algoworx Website or Related Platforms.

The Algoworx Terms and Conditions (updated May 2023) outline Algoworx’s and your obligations and responsibilities in relation to Algoworx Website.

1. General

The Algoworx Website may include or make reference to various Content. Content may include, but is not limited to:
• General trading information
• Cryptocurrency trading information
• Access to cryptocurrency algorithms
• Company names, logos, Trade Marks owned by Algoworx
• Educational information and data concerning the Australian Securities Exchange (ASX)
• Information contained on the Related Platforms, including Trading View and Vultr.

By accessing the Algoworx Website, you acknowledge that the information and Content provided by Algoworx is purely for educational purposes only and does not constitute business or financial product advice, legal, tax or investment advice or recommendations. You acknowledge that by accessing the information and Content provided by Algoworx, you are solely responsible for determining whether any Content or otherwise trading information is suitable for your personal investment objectives or financial circumstances. Should you require additional advice, it is important you contact your trusted legal or tax
professional.

Algoworx will not be liable for any direct, indirect, consequential, or otherwise damages including, but not limited to, damages for loss of profits, income, or any other losses resulting from the use of the Algoworx Website, Content, Related Platforms, or trading information provided by Algoworx. The actual returns and losses experienced by each User will vary depending on many factors including, but not limited to, market behaviour, market movement, your chosen trading specifications and your trading size.

2. Intellectual Property
You are not permitted to use the Intellectual Property which includes but is not limited to, confidential information, designs, Trade Marks or any other content located on the Algoworx Website without prior consent from Algoworx.

The Content, trading information and all otherwise information may be subject to copyright. You agree
not to download, copy, reproduce or otherwise use such copyright material without prior consent from
Algoworx.

3. Scope of Algoworx Services

3.1 Algoworx provides trading information and access to cryptocurrency algorithms for educational
purposes.

3.2 Algoworx provides each User with access to trading codes, which are for use solely on
TradingView or any other Related Platforms.

3.3 Upon payment of the chosen Subscription Price, Algoworx will provide the corresponding
algorithm(s)

3.4 The Customer must pay the Subscription Price through the Algoworx Website, which includes
a monthly or yearly subscription.

3.5 In addition to the Subscription Price, the Customer must pay a Stripe processing fee for any
and all purchases.

3.6 The User may use the purchased algorithm(s) at its own discretion, whether on the Related Platforms or elsewhere. Algoworx does not provide information as to how to use the Related Platforms and such trading specifications are input solely by the User.

4. Algoworx Obligations

4.1 Algoworx provides algorithms to enable Users to trade automatically via the Related Platforms.

4.2 Algoworx only permits persons at least eighteen (18) years or older to use the Algoworx
Website.

4.3 Algoworx charges the following Subscription Prices to access its algorithms.

Algo Only Monthly Tier Plans

• Tier 1 – USD $69.95

• Tier 2 – USD $89.95

Algoworx Monthly Tier Plans

• Bronze Tier (Monthly) – USD $99.95

• Silver Tier (Monthly) – USD $119.95

• Gold Tier (Monthly) – USD $169.95

Algo Only Yearly Tier Plans

• Tier 1 – USD $695.95

• Tier 2 – USD $895.95

Algoworx Yearly Tier Plans

• Bronze Tier (Yearly) – USD $995.95
• Silver Tier (Yearly) – USD $1195.95
• Gold Tier (Yearly) – USD $1695.95

4.4 Algoworx may suspend, delete or refuse a person from obtaining any algorithms created by
Algoworx on reasonable grounds, including but not limited to, if the User’s conduct is not aligned
with these Terms and Conditions.

4.5 Algoworx reserves the right to prevent a User from obtaining any algorithms created by
Algoworx if the User fails to pay the Subscription Price.

4.6 Algoworx will use its best endeavours to provide quality algorithms and Content and makes no
warranties as to the suitability, effectiveness, truthfulness, or accuracy of the information
supplied.

4.7 By accessing the Algoworx Website and clicking ‘YES’ to accept these Terms and Conditions,
you hereby acknowledge the parties’ obligations under these Terms and Conditions.

5. Refunds

5.1 Refund Eligibility:

(a) Refunds will be provided in accordance with the Australian Consumer Law (ACL) and
other relevant consumer protection laws and regulations; and (b) No refunds will be granted for change of mind or if the subscriber decides to discontinue the service voluntarily.

5.2 Request for Refunds:

(a) Users who believe they are eligible for a refund must submit a written request to Algoworx within a reasonable timeframe; and

(b) The refund request should clearly outline the reasons for seeking a refund and any supporting evidence or documentation.

5.3 Assessment of Refund Requests:

(a) Upon receiving a refund request, Algoworx will promptly assess the request and determine its eligibility based on the ACL and other applicable laws; and (b) Algoworx reserves the right to request additional information or clarification from the User to aid in the assessment process.

5.4 Refund Decision:

(a) If the refund request is deemed eligible, Algoworx will provide a refund within a reasonable time frame and in the same form of payment used for the original purchase; (b) The amount of the refund will be limited to the fees paid for the unused portion of the subscription period or the amount directly attributable to the defective services, as determined by Algoworx.

5.5 Exclusions:
(a) No refunds will be granted for any losses or damages incurred by the User due to the
volatility or fluctuations in the cryptocurrency market; and (b) Refunds will not be provided for any losses resulting from the User’s failure to follow provided instructions, negligence, or misuse of the subscribed services.
5.6 Alternative Remedies:
(a) In cases where a refund is not deemed appropriate under the ACL, Algoworx may, at its discretion, offer alternative remedies such as service credits or adjustments to the subscription period.

5.7 Contact Information:
(a) Subscribers can reach out to Algoworx through the designated customer support channels to initiate a refund request or seek clarification regarding the refund policy; and (b) By subscribing to Algoworx, you acknowledge and accept the terms of this refund policy, including the no refund for change of mind provision, while remaining entitled to the protection provided under the Australian Consumer Law.

6. Liability Disclaimer

Whilst we have made every effort to ensure that the information and statements contained in the Content are reliable, we make no warranties or guarantees in this regard. Algoworx does not accept liability for any loss or damage that may arise from a user relying on such information or statements. These terms and conditions do not exclude or modify any guarantees that may apply to a consumer under the Australian Consumer Law. In the event that a consumer guarantee cannot be excluded, Algoworx’s liability will be limited to providing the service again or paying the costs of having the service supplied again, at its sole discretion. Subject to this limitation, Algoworx accepts no liability for any reason to any user of its subscription service or the information contained therein.

7. Educational Advice Only Warning

This warning serves to advise you that any advice provided by us, directly or indirectly, is for education purposes only and Content provided by Algoworx in the form of data, ratings or commentary is not tailored to your individual investment objectives, financial circumstances or needs. The information contained on this Algoworx Website is not financial, taxation or professional advice, and should not be relied upon as such. Before making any financial decision, it is recommended that you seek the guidance of a qualified adviser.

8. Privacy

The User acknowledges that during the use of the Algoworx Website, they may be required to provide personal identification information. Algoworx is committed to ensuring the privacy of its Users and will ensure that all personal information collected will be kept secure and in accordance with any applicable privacy laws.

9. Third Party Content

In viewing our Content, Algoworx Website, you may click various links or view various content provided by third parties (‘Third Party Content’), including on the Related Platforms. We do not endorse, control or author any Third Party Content and do not accept any responsibility for such material that is misleading, false, offensive or otherwise improper. We are not responsible for any loss or damage incurred from dealings with such third parties and you understand that you access any Third Party Content and Related Platforms at your own risk. The links and Third Party Content are strictly for the User’s reference, and we do not accept any liability for the operation of such content.

10. Security

Algoworx reserves the right to use technology to improve any security measures within the Algoworx Website. The User agrees to check and read any amended Terms and Conditions accordingly.

11. Cookies and Viruses

Algoworx shall use its best endeavours to ensure the use of the best technology to protect each User but accepts no responsibility in relation to any damage to any electronic equipment used by you, including mobile devices, as a result of your use of the Algoworx Website or accessing the Content, or Related Platforms.

12. General

You acknowledge that Algoworx may vary these Terms and Contitions from time to time and you agree to be bound by such variations from that time when that variation is advised. The User understands that continued use of the Algoworx Website constitutes an agreement to these Terms and Conditions and any variations to these Terms and Conditions.

13. Applicable Law

The User agrees that the content of the Algoworx Website is intended for Australian residents and may not be available in any other Country. The laws of the State of Queensland will apply with respect to these Terms and Conditions and any use of the Algoworx Website. You submit to the exclusive jurisdiction of the applicable Courts located in the State of Queensland, Australia with respect to the Algoworx Website, and these Terms and Conditions.

14. Definitions

Algoworx means Multi X Algo Pty Ltd ACN 666 280 084.

Algoworx Website means www.algoworx.co used for displaying the Content.

Algo Only Monthly Tiers means ’Tier 1’ which provides the User with one (1) trading algorithm per month only, and ‘Tier 2’ which provides the User with two (2) trading algorithms, both with no access to automatic trading through the Related Platforms. Each Algo Only Monthly Tier lasts for a period of six (6) months. Algo Only Yearly Tiers means ’Tier 1’ which provides the User with one (1) trading algorithm per month only, and ‘Tier 2’ which provides the User with two (2) trading algorithms, both with no access to automatic trading through the Related Platforms. Each Algo Only Monthly Tier lasts for a period of one (1) year.

Algoworx Monthly Tier Plans means Bronze Tier’ which provides algorithms to be used on one (1) exchange, ‘Silver Tier’, which provided algorithms to be used on two (2) exchanges, and ‘Gold Tier’ which provides algorithms to be used on three (3) exchanges. Each Algo Only Yearly Tier lasts for a period of six (6) months. Algoworx Yearly Tier Plans means ’Bronze Tier’ which provides algorithms to be used on one (1) exchange, ‘Silver Tier’, which provided algorithms to be used on two (2) exchanges, and ‘Gold Tier’ which provides algorithms to be used on three (3) exchanges. Each Algo Only Yearly Tier lasts for a. period of one (1) year.

Content means any trading information, cryptocurrency information, algorithms, ASX reports, or otherwise content available on the Algoworx Website and/or Related Platforms. Intellectual Property means any and all Trade Marks, copyright, designs, patents, or otherwise intellectual property owned by Algoworx or its affiliates. Related Platform means any platform whereby the algorithms provided by Algoworx may used, including but not limited to TradingView and Vultr. Stripe means the payment processing services platform at https://stripe.com/au . Subscription Price means the fee for Users to access the Content by Algoworx, as outlined under

Clause 4.3 of these Terms and Conditions.

Third Party Content means the third-party information and/or content available on the Algoworx Website or Related Platforms

User means you, or any person accessing the Content, Algoworx Website or Related Platforms. User Subscription means the subscription paid for by the User
